Terms & Conditions

 

Client: The individual or entity completing online registration (“Client”).

Effective Date: Upon Client’s acceptance of these Terms & Conditions (“Agreement”) through online registration for the Email Alerts Service.

Service Provider: State Analysis, Inc., d/b/a StateScape (“StateScape”), a Virginia corporation located at 114 North Patrick Street, Alexandria, Virginia 22314.

By registering, Client acknowledges and agrees to the following Terms & Conditions:

  1. Service Description

StateScape will provide Client with access to email alerts, delivered up to twice daily, for newly introduced bills that match the subscribed topics (the “Services”). Under this plan, bills are identified using keyword and/or Boolean search strings.

  1. Payment

Upon registration, StateScape will issue an invoice for the annual subscription fee based on the number of topics selected on the registration form.

This fee includes all standard operating costs associated with the Services. Any exceptional expenses will be incurred only with Client’s prior written authorization.

  1. Service Term and Renewal

The standard Service term is one (1) year, beginning on the date payment is received. Access will automatically terminate at the end of the annual term unless renewed by Client.

  1. Account Setup

Initial setup may require up to one (1) business day following payment. Client agrees to cooperate promptly with StateScape to complete all required setup details, including user information and search configurations. Delays caused by Client may affect service delivery timelines.

  1. Use and Access

Client’s subscription permits access to the Services solely for Client’s employees. Consultants, attorneys, association members, or other third parties not directly employed by Client may not access the Services without StateScape’s prior written consent.

Client agrees not to redistribute or share content derived from the Services. StateScape reserves the right to suspend or terminate access immediately in the event of misuse or unauthorized access.

  1. Fee Adjustments

The invoiced fee applies only to the current Service term. Fees for renewals or modifications to the Services may be adjusted and will be communicated to, and agreed upon by, Client in writing prior to implementation.

  1. Warranty Disclaimer

StateScape will perform the Services in a professional manner consistent with industry standards. However, StateScape makes no warranties or guarantees regarding the completeness, timeliness, or accuracy of legislative data, or the results obtained from use of the Services.

  1. Limitation of Liability

Except in cases of gross negligence or willful misconduct, StateScape and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, or punitive damages, including, without limitation, loss of profits, data, or business interruption.

StateScape’s maximum cumulative liability under this Agreement shall not exceed the total amount paid by Client for the then-current Service term.

  1. Taxes and Relationship

This Agreement does not create a partnership, joint venture, employment, or agency relationship between the Parties. Client is solely responsible for all applicable taxes related to its purchase or use of the Services.

  1. Termination

StateScape may terminate this Agreement immediately upon Client’s breach of any provision, including unauthorized access or distribution of materials.

  1. Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether written or oral.

  1. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

  1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, and any disputes shall be subject to the exclusive jurisdiction of its courts.

By registering for the Email Alerts Service, Client acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions.
